16. Governing Law and Venue
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles.
To the extent permitted by law, any legal proceeding arising exclusively from use of the public Website or these Terms shall be brought in a state or federal court with appropriate jurisdiction in Broward County, Florida. Disputes governed by a separate written agreement with Lotus RCM will be handled according to that agreement.

18. No Waiver
Lotus RCM’s failure to enforce a provision of these Terms does not waive its right to enforce that provision or any other provision later.

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Lotus RCM concerning your use of the public Website.
They do not replace or modify any separately signed service agreement, business associate agreement, confidentiality agreement, data-use agreement, or other written contract.
